Condiciones de uso del servicio

Estas condiciones regulan el uso de la plataforma Summatool, titularidad de Gambit Advisors, S.L. («Gambit»), por parte de las empresas y profesionales que la contratan («el Cliente») y de las personas autorizadas por estas («los Usuarios»).
Summatool es un servicio dirigido exclusivamente a empresas y profesionales. No se ofrece a consumidores, por lo que no resulta de aplicación la normativa de protección de consumidores y usuarios.
1. Objeto
Gambit concede al Cliente un derecho de uso no exclusivo, no transferible y limitado en el tiempo sobre la plataforma, en la modalidad de software como servicio. No se transmite la propiedad del software ni ningún derecho de propiedad intelectual sobre él.
El alcance concreto —módulos incluidos, número de establecimientos, número de usuarios, precio y duración— será el que se recoja en la propuesta o el contrato firmado con el Cliente, que prevalecerá sobre estas condiciones en caso de discrepancia.
2. Cuentas y credenciales
El acceso se realiza mediante credenciales personales. El Cliente es responsable de:
- Designar a los Usuarios autorizados y mantener actualizada esa relación.
- Que las credenciales no se compartan ni se cedan a terceros.
- Comunicarnos sin demora cualquier acceso no autorizado o sospecha de compromiso.
- Las actuaciones realizadas desde las cuentas de sus Usuarios.
Gambit podrá suspender de forma inmediata un acceso concreto si detecta un uso que ponga en riesgo la seguridad o la integridad del servicio.
3. Propiedad de los datos del Cliente
Los datos que el Cliente incorpora a la plataforma son y seguirán siendo suyos. Gambit no adquiere ningún derecho sobre ellos, no los utiliza para finalidades propias, no los cede a terceros con fines comerciales y no los emplea para entrenar modelos de inteligencia artificial.
Gambit los trata únicamente para prestar el servicio, siguiendo las instrucciones del Cliente y en el marco del acuerdo de encargado del tratamiento previsto en el artículo 28 del RGPD, cuando resulte aplicable.
El Cliente garantiza que dispone de título legítimo sobre la información que incorpora y que su tratamiento en la plataforma no vulnera derechos de terceros.
4. Propiedad intelectual de la plataforma
La plataforma, su código, su diseño, su estructura de datos y su metodología de cálculo son titularidad de Gambit. Queda prohibido:
- Copiar, descompilar o realizar ingeniería inversa sobre el software.
- Extraer, replicar o reutilizar su estructura, modelo de datos o lógica de cálculo.
- Revender, sublicenciar, alquilar o ceder el acceso a terceros no autorizados.
- Utilizar medios automatizados para descargar de forma masiva el contenido o el código.
- Eliminar u ocultar avisos de titularidad.
5. Uso aceptable
El Cliente y los Usuarios se comprometen a utilizar la plataforma conforme a la ley y a estas condiciones, y a no realizar acciones que puedan dañar, sobrecargar o inutilizar el servicio o comprometer la seguridad de otros clientes.
6. Funciones de inteligencia artificial
La plataforma incorpora funciones de análisis asistido por inteligencia artificial. Sus resultados tienen carácter orientativo y pueden contener errores o imprecisiones. No constituyen asesoramiento financiero, contable, fiscal ni de gestión.
Las decisiones que el Cliente adopte a partir de esos análisis son de su exclusiva responsabilidad, y recomendamos su verificación con los datos de origen y con sus asesores.
Estas funciones implican el envío de información a proveedores tecnológicos externos. El Cliente puede solicitar su desactivación.
7. Disponibilidad, soporte y mantenimiento
Gambit pone los medios razonables para mantener el servicio disponible de forma continuada, pero no garantiza una disponibilidad ininterrumpida. Podrán producirse paradas por mantenimiento, actualizaciones o incidencias de proveedores, que procuraremos anunciar con antelación cuando sean programadas.
La plataforma evoluciona: se añaden, modifican o retiran funcionalidades. Los cambios no reducirán de forma sustancial las funcionalidades esenciales contratadas sin comunicación previa al Cliente.
El soporte se presta por los canales y en los plazos acordados con el Cliente. Canal general: admin@summatool.es.
8. Copias de seguridad
Gambit realiza copias de seguridad conforme a sus procedimientos internos, con el fin de recuperar el servicio ante incidencias. Esta previsión no sustituye las obligaciones de conservación documental que correspondan al Cliente conforme a la normativa contable y fiscal.
9. Limitación de responsabilidad
En la medida permitida por la ley, Gambit no responderá del lucro cesante, la pérdida de oportunidades de negocio ni de los daños indirectos o consecuenciales derivados del uso o de la imposibilidad de uso de la plataforma.
La responsabilidad total de Gambit por cualquier reclamación relacionada con el servicio quedará limitada al importe efectivamente abonado por el Cliente en los doce meses anteriores al hecho que motive la reclamación, salvo en los supuestos en que la ley no permita tal limitación.
10. Precios y facturación
Los precios, la periodicidad y la forma de pago serán los pactados en el contrato o la propuesta aceptada. Los importes se entienden sin IVA salvo indicación en contrario. El impago podrá dar lugar a la suspensión del acceso, previo aviso al Cliente.
11. Duración y terminación
La duración será la pactada. Cualquiera de las partes podrá resolver el contrato por incumplimiento grave de la otra, si no se subsana en un plazo razonable tras el requerimiento.
A la finalización, el acceso a la plataforma cesará. El Cliente podrá solicitar, dentro del plazo acordado en el contrato, la devolución de sus datos en un formato de uso común; transcurrido ese plazo, se procederá a su supresión conforme a nuestros procedimientos, salvo obligación legal de conservación.
12. Confidencialidad
Ambas partes se obligan a mantener la confidencialidad de la información a la que accedan como consecuencia de la relación, y a no divulgarla ni utilizarla para fines distintos de su ejecución. Esta obligación subsistirá tras la terminación del contrato.
13. Modificación de estas condiciones
Gambit podrá actualizar estas condiciones por motivos legales, técnicos o de evolución del servicio. La versión vigente será la publicada en esta página. Si la modificación afectara de forma sustancial a los derechos del Cliente, se le comunicará previamente.
14. Legislación y jurisdicción
Estas condiciones se rigen por la legislación española. Las partes se someten a los juzgados y tribunales de Málaga, con renuncia a cualquier otro fuero que pudiera corresponderles.

Terms of service

These terms govern the use of the Summatool platform, owned by Gambit Advisors, S.L. («Gambit»), by the companies and professionals who subscribe to it («the Client») and the individuals they authorise («the Users»).
Summatool is a service intended exclusively for businesses and professionals. It is not offered to consumers, and therefore consumer protection legislation does not apply.
1. Purpose
Gambit grants the Client a non-exclusive, non-transferable and time-limited right to use the platform on a software-as-a-service basis. Ownership of the software is not transferred, nor any intellectual property right over it.
The specific scope — modules included, number of properties, number of users, price and term — shall be as set out in the proposal or contract signed with the Client, which shall prevail over these terms in the event of any discrepancy.
2. Accounts and credentials
Access is by means of personal credentials. The Client is responsible for:
- Designating authorised Users and keeping that list up to date.
- Ensuring credentials are not shared or transferred to third parties.
- Notifying us without delay of any unauthorised access or suspected compromise.
- Actions carried out from its Users' accounts.
Gambit may immediately suspend a specific account if it detects use that puts the security or integrity of the service at risk.
3. Ownership of Client data
The data the Client uploads to the platform is and remains theirs. Gambit acquires no rights over it, does not use it for its own purposes, does not transfer it to third parties for commercial purposes, and does not use it to train artificial intelligence models.
Gambit processes it solely in order to provide the service, following the Client's instructions and under the data processing agreement provided for in article 28 GDPR, where applicable.
The Client warrants that it holds proper title to the information it uploads and that processing it on the platform does not infringe third-party rights.
4. Intellectual property of the platform
The platform, its code, design, data structure and calculation methodology are owned by Gambit. The following is prohibited:
- Copying, decompiling or reverse engineering the software.
- Extracting, replicating or reusing its structure, data model or calculation logic.
- Reselling, sublicensing, renting or transferring access to unauthorised third parties.
- Using automated means to download the content or code in bulk.
- Removing or obscuring ownership notices.
5. Acceptable use
The Client and Users undertake to use the platform in accordance with the law and these terms, and not to carry out actions that may damage, overload or disable the service or compromise the security of other clients.
6. Artificial intelligence features
The platform includes AI-assisted analysis features. Their output is indicative and may contain errors or inaccuracies. It does not constitute financial, accounting, tax or management advice.
Decisions taken by the Client on the basis of such analysis are its sole responsibility, and we recommend verifying them against source data and with professional advisers.
These features involve sending information to external technology providers. The Client may request that they be disabled.
7. Availability, support and maintenance
Gambit uses reasonable means to keep the service continuously available but does not guarantee uninterrupted availability. Downtime may occur due to maintenance, updates or provider incidents; we will endeavour to announce scheduled interruptions in advance.
The platform evolves: features are added, modified or withdrawn. Changes will not substantially reduce the essential contracted functionality without prior notice to the Client.
Support is provided through the channels and within the timeframes agreed with the Client. General channel: admin@summatool.es.
8. Backups
Gambit performs backups in accordance with its internal procedures, for the purpose of restoring the service in the event of an incident. This does not replace the Client's own record-keeping obligations under accounting and tax legislation.
9. Limitation of liability
To the extent permitted by law, Gambit shall not be liable for loss of profit, loss of business opportunity, or indirect or consequential damages arising from the use of, or inability to use, the platform.
Gambit's total liability for any claim relating to the service shall be limited to the amount actually paid by the Client during the twelve months preceding the event giving rise to the claim, except where the law does not permit such limitation.
10. Prices and billing
Prices, billing frequency and payment method shall be as agreed in the contract or accepted proposal. Amounts are exclusive of VAT unless stated otherwise. Non-payment may result in suspension of access, after prior notice to the Client.
11. Term and termination
The term shall be as agreed. Either party may terminate the contract for material breach by the other, if not remedied within a reasonable period following notice.
On termination, access to the platform will cease. Within the period agreed in the contract, the Client may request the return of its data in a commonly used format; after that period, it will be deleted in accordance with our procedures, unless there is a legal obligation to retain it.
12. Confidentiality
Both parties undertake to keep confidential any information accessed as a result of the relationship, and not to disclose it or use it for purposes other than performing the contract. This obligation shall survive termination.
13. Amendments to these terms
Gambit may update these terms for legal or technical reasons or as the service evolves. The version in force shall be the one published on this page. Where an amendment substantially affects the Client's rights, prior notice will be given.
14. Governing law and jurisdiction
These terms are governed by Spanish law. The parties submit to the courts of Málaga, waiving any other jurisdiction to which they might be entitled.
